Trademark Assignment Instructions

The Parties:

Enter the full legal name of the Assignor, if the assignor is a corporation or LLC enter that name, and the address. The Assignor is the person, company or entity who owns the trademark and is assigning it now.

Enter the full legal name of the Assignee, if the assignee is a corporation enter that name, then enter the address. The Assignee is the person, company or entity that is receiving the trademark.

The Trademark:

Paragraph 1:  enter the name, description or information about the trademark being assigned.

Paragraph 3: Enter the registration number of the trademark. This number is given by the USPTO once the trademark was registered with them.

The Assignment:

Paragraph 5: Enter the dollar amount that the Assignee is paying to the Assignor in consideration for having the mark assigned.

Paragraph 7: Enter how the consideration or the price will be paid, will it be by check, money order, wire transfer, etc.…If the payment will be made in installments you can state that here as well.

Additional Terms:

Paragraph 12: If there any additional terms that you want to include in this Agreement, enter it here. Use clear and concise sentences and refer to the parties using the terms Assignor and Assignee.

Miscellaneous Terms:

Paragraph 15: Enter the State that will govern the rules of this Agreement, typically that state is where one of the parties reside in.

Signature:

Enter the date of the signing as day, month, year, for example: 10th day of September, 2023.

Next the Parties will enter the state and County that the Agreement is being signed in and will each sign in front of a notary public.

Notary Acknowledgement- the Notary Public will sign this page once witnessing the parties sign in the Notary’s presence.
