Sports Memorabilia Purchase Agreement (Kentucky)

Instructions

Below are instructions and explanation of each section to be filled out.

1.  Purchase and Sale of Sports Memorabilia: This section outlines the agreement's main purpose.  The seller agrees to sell their sports memorabilia to the buyer, who agrees to buy them.  The memorabilia being sold are listed and should be described in as much detail as possible. If you need additional space to describe the memorabilia do so in an attached document, Exhibit A.

1.1 Purchase of Memorabilia: This part confirms the seller's intention to sell the Memorabilia and the buyer's intention to buy them.

1.2 Purchase Price: This part specifies the total amount the buyer will pay for the memorabilia and how the payment will be made. You can select if payments will be sent via wire, credit card, pay pal, ACH, Zelle, etc.

1.3 Delivery of Memorabilia: This part details how and when the seller will deliver the memorabilia to the buyer.  It also allows you to fill in which party, the Seller or Buyer, will pay for shipping and insurance, and that the risk of loss passes to the buyer once shipped.

1.4 Condition of Memorabilia: This part states that the buyer has inspected the memorabilia and is satisfied with their condition.  The buyer accepts the memorabilia "as is," meaning the seller makes no guarantees about their condition or value.

 2.  Representations and Warranties: This section contains promises made by both the seller and the buyer.  The seller promises they own the memorabilia and have the right to sell them, and there are no legal issues with the memorabilia.  The buyer promises they have the legal right to buy the memorabilia.

 3.  Indemnification: This section protects both parties from financial loss due to lawsuits, damages, or other specified events.

4.  General Provisions: This section includes various standard legal terms, such as the law governing the agreement and how notices should be delivered. Please fill in which state should govern.

The agreement ends with a place for both the seller and buyer to sign, showing they agree to its terms.
